Appendix A: Outside Advisors

Technical Team

Dr. Charles Neuhauser is a consultant specializing in system architecture issues. Early in his career Dr. Neuhauser worked on the development of message and voice switching systems at Bell Telephone Laboratories. For 20 years, he worked for Palyn Gould Group, a computer systems consulting company, where he led the design teams working on small and medium scales system development. Since 1994, he has been an independent consultant providing advice to clients on the operation and capabilities of a range of systems and devices, including industrial robots, RAID controller software and processor interfaces.

Mr. Robert Olson began his career at Hewlett Packard doing development work on the widely-used HP3000 system. From 1980 to 1989, he worked at ELXSI Corporation where he was a key leader in the definition and development of company's large scale distributed systems. He served as the company's VP of Software and later as the VP of Research and Development. From 1989 to 1994, Mr. Olson led software and media server development activities at Silicon Graphics. In 1994, he became founder of VirtualVineyards (Wines.com). As CEO he led one of the pioneering e-commerce efforts which developed into the leading online marketer of premium wines. Virtual Vineyards is perceived as an excellent example of how Internet-based retailing can bypass obsolete wine industry sales and distribution methods. Currently Mr. Olson is providing management and technical advice to a number of Internet start-ups.

Dr. Peter Reiher brings a research perspective to the technical team. After receiving his Ph.D. from UCLA, Dr. Reiher worked at Jet Propulsion Laboratory on the development of the Time Warp O/S, a research project directed at evaluating synchronization mechanisms in highly parallel systems. Currently an Adjunct Associate Professor at UCLA, he teaches and directs research teams working in the area of distributed operating systems and networks. Dr. Reiher has published nearly 50 technical papers related to distributed systems, mobility, security and naming. He is a consultant for Aerospace Corporation and Platinum Technologies, a leading enterprise software developer.

 

Business/Financial Team

David Nolte is a partner in Arthur Andersen's business consulting practice and has approximately 25 years experience in public accounting. He has experience in serving international and domestic clients for the technology, entertainment, manufacturing, and services industries. Dave regularly works in the resolution of commercial disputes, serving as both a third party neutral and partyretained expert. He is an Accredited Senior Appraiser and a Certified Public Accountant. Dave has a Masters in Business Administration from California State University at Los Angeles and a Bachelor's degree in accounting from Whittier College. He is a member of the American Society of Appraisers, the Licensing Executives Society and California Society of Certified Public Accountants where he is on the litigation services committee. He was also a past Chapter President of the Institute of Management Accounting.

J. D. Tengberg is a senior manager in Arthur Andersen's Strategic Value Services ("SVA") practice and has approximately 10 years of experience. He has experience in serving international and domestic clients within the technology and products industries. He has provided a broad range of advisory services, including competitive assessments, merger & acquisition consulting, strategic analyses and business model assessments. J.D. has a Masters in Business Administration from the University of California at Los Angeles and a Bachelor's degree in finance from Brigham Young University. He is a member of the Strategic Management Society.

Tom MacKinney is an experienced manager in Arthur Andersen's e-Commerce and Technology Group and has approximately 12 years of experience. He has experience in serving public, private and international clients, in both the emerging and middle-markets, within the e-commerce and technology industries. He has provided a broad range of financial advisory services, including due diligence and business plan assistance. Tom has a Bachelor's degree in accounting and finance from California State University at Northridge and is a Certified Public Accountant. He is a member of the California Society of Certified Public Accountants and the Los Angeles Venture Association.

 

Legal Team

John Funk is a partner in Jones Day's Technology Issues Practice. He has had extensive experience in technology transactions and issues for over 20 years. ohn has represented a number of technology companies, including global information technology service providers, computer and telephone equipment manufacturers and software companies, as well as companies that use those services and products. He is a frequent lecturer and author on information technology and business process outsourcing and application service providers.

Paul Goldean is an associate in Jones Day's Business Practice Group. He represents a broad array of clients in business and commercial issues, focusing primarily on venture capital and information technology transactions. Paul also has substantial litigation experience. He has published a number of professional articles, including articles on cyberfranchising, e-commerce and the impact of technology on the provision of legal services.
