Report of VeriSign Management on Neutrality Compliance

We, as members of management of VeriSign Inc., (the Company) are responsible for complying with the requirements of Sections 23(A) through 23(E) of the .com Registry Agreement and Subsections 3.5.1 through 3.5.5 of the .net and .org Registry Agreements executed by and between the Company and the Internet Corporation for Assigned Names and Numbers, Inc. ("ICANN Requirements"). We also are responsible for establishing and maintaining effective internal control over compliance with ICANN Requirements. We have performed an evaluation of the Company's compliance with ICANN Requirements, as of December 31, 2002 and for the year then ended. Based on this evaluation, we assert that for the year ended December 31, 2002, the Company substantially complied with the ICANN Requirements.
